Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Simple, LLC, an Arizona limited liability company (“Simple, LLC”, “we”, “us”), governing your use of NTHSTR (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
You must be able to form a binding contract to use the Service, and you must be at least 13 years old (or the minimum age required in your country). You can create an account with an email sign-in link, or with any third-party sign-in provider offered on the sign-up page. You are responsible for your account, for keeping access to it secure, and for activity that happens under it. Tell us promptly at legal@simplellc.com if you believe your account has been used without your permission.
2. Your content
You keep ownership of everything you create in the Service — your tasks, projects, goals, habits, notes, voice captures, and everything attached to them (“Your Content”). You grant us only the limited license needed to host, store, transmit, back up, and display Your Content in order to operate the Service for you, including passing the specific content you submit to an AI feature to the provider that runs it.
We do not sell Your Content, and we do not use it to train our own models. You are responsible for Your Content and for having the rights necessary to put it into the Service.
3. Acceptable use
You agree not to:
- Break the law or infringe anyone’s rights using the Service.
- Upload malware, attempt to breach security, or disrupt the Service or its infrastructure.
- Access other users’ or other workspaces’ data.
- Reverse engineer or resell the Service, except where that restriction is prohibited by law.
- Use the Service to generate or distribute unlawful, harmful, or abusive content.
- Exceed documented rate limits or otherwise place an unreasonable load on the Service.
4. Workspaces and invitations
The Service is organized into workspaces. If you invite other people to a workspace, or you join someone else’s, be aware that members of a workspace can see the content in it according to their role. The person who controls a workspace can change roles and remove members. Do not invite people to content they should not see.
5. Subscriptions and billing
NTHSTR is free while it is in beta. No plan is offered for sale today, no payment method is collected, and nothing is charged. The rest of this section describes how billing will work if and when paid plans are introduced; until then none of it applies to you.
Paid plans are billed in advance on a recurring basis through Stripe, our payment processor. We never receive or store your full card details. Unless stated otherwise:
- Fees are charged at the start of each billing period and renew automatically until you cancel.
- You can cancel at any time; cancellation takes effect at the end of the current billing period.
- Except where required by law, payments are non-refundable and partial periods are not prorated.
- We may change pricing or plan features on prospective notice; changes never affect a period you have already paid for.
Plans include usage limits — for example a cap on AI actions. Those limits are shown in the app and may change as the Service evolves. If you exceed a limit, the affected feature stops until the limit resets or you upgrade.
6. Beta and pre-release access
Parts of the Service, including any beta, preview, or TestFlight build, are provided for evaluation. They may change, break, or be withdrawn, and they may carry a higher risk of data loss than the generally available Service. Keep your own copies of anything you cannot afford to lose.
7. AI features
The Service offers AI-assisted features that produce suggestions, drafts, structure, and transcriptions. AI output can be wrong, incomplete, or misleading. NTHSTR is built so that AI proposals are shown to you for review before they are applied to your workspace; you are responsible for reviewing output before you rely on it. AI features do not provide legal, financial, medical, or other professional advice.
8. Third-party integrations
You can connect third-party services such as Google Calendar or GitHub. When you do, you authorize us to access and exchange data with that service to provide the integration, using the permissions you granted. Your use of the third-party service is governed by that provider’s own terms, and we are not responsible for it. You can disconnect an integration at any time from within the app.
9. Our intellectual property
The Service — including its software, design, and the NTHSTR name and marks — is owned by Simple, LLC and its licensors. These Terms grant you no rights to our intellectual property beyond the limited right to use the Service as permitted here.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially violate these Terms, if we are required to by law, or to protect the Service or other users. When your account is deleted, we delete your workspace content as described in the Privacy Policy. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — survive termination.
11. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your requirements.
12. Limitation of liability
To the maximum extent permitted by law, Simple, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or US $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnification
You agree to indemnify and hold Simple, LLC harmless from claims arising out of Your Content or your violation of these Terms or applicable law, to the extent permitted by law.
14. Changes to these Terms
We may update these Terms. We will revise the “Last updated” date above and, for material changes, give additional notice — for example in the app or by email. Continued use after the changes take effect means you accept the updated Terms.
15. Governing law
These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws rules. You and Simple, LLC agree that the state and federal courts located in Arizona have exclusive jurisdiction over any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer, this does not deprive you of the protection of mandatory consumer law where you live.
